By accessing or using the Site or procuring any services from ARCA Solutions (collectively, the “Services”), you (“you” or “Client”) agree to be bound by these Terms, our Privacy Policy, and any engagement letter or proposal governing specific Services. 6. Services Engagement

Any Services you procure—from remote CA deliverables to consultation—will be governed by an engagement letter or proposal (“Engagement Agreement”) which may include additional terms and conditions. In the event of conflict between these Terms and an Engagement Agreement, the Engagement Agreement shall control.

7. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

IN NO EVENT SHALL ARCA SOLUTIONS, ITS AFFILIATES, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS OR ANY ENGAGEMENT AGREEMENT SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless ARCA Solutions and its officers, directors, agents, and employees from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of your (a) use of the Site or Services in violation of these Terms; (b) breach of any agreement you enter with ARCA Solutions; or (c) infringement of any third-party rights.

10. Governing Law & Dispute Resolution

These Terms and any dispute arising out of them shall be governed by the laws of the District of Columbia, without regard to its conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Washington, DC, and each party hereby consents to personal jurisdiction and venue therein.

11. Severability

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be reformed only to the extent necessary to make it enforceable.

12. Waiver

No failure or delay by ARCA Solutions in exercising any right under these Terms shall constitute a waiver of that right.
